Affiliate Terms of Use

This Affiliate Agreement ("Agreement") is made and entered into by and between Afton Negrea (“Company”) and you, the Affiliate ("Affiliate"). This Agreement outlines the complete terms and conditions that apply to your participation in the Afton Negrea Affiliate Program for promoting products and programs, including digital themes and courses.

1. Affiliate Link and Tracking

Upon acceptance, each Affiliate will be issued a unique affiliate tracking link. Commissions will only be attributed and paid when a customer uses this specific link to make a qualifying purchase. Affiliate links are cookied for 30 days; the last referring affiliate will receive credit for the sale. No commissions will be paid if cookies are cleared or links are not used correctly.

2. Permitted Promotional Practices

Affiliates are encouraged to promote Afton Negrea offerings using approved marketing materials and strategies that align with the Company’s brand values. Affiliates may:

• Share affiliate links via personal websites, blogs, newsletters, or social media.

• Only use images and creatives provided or explicitly approved by Afton Negrea.

3. Prohibited Activities

Affiliates agree not to engage in the following:

• SPAM or unsolicited communication: Email promotions must comply with the CAN-SPAM Act. Emails must only be sent to individuals who have opted in or with whom the Affiliate has an existing relationship.

• Misrepresentation: Affiliates must not make false or misleading claims about Afton Negrea or its offerings.

• Use of brand names in paid ads: Affiliates may not bid on "Afton Negrea" or related trademarks in any paid advertising platforms (e.g., Google Ads, Meta Ads) without express permission.

• Self-referrals or incentivized traffic: Affiliates may not use their own affiliate links to purchase products or use tactics like giveaways, coupons, or cash rebates to generate referrals unless pre-approved.

Violation of this section may result in immediate termination of the account and forfeiture of unpaid commissions.

4. Use of Promotional Materials and Branding

Affiliates are granted a non-exclusive, non-transferable, royalty-free license to use Afton Negrea’s promotional materials for the sole purpose of referring traffic and generating sales. These materials may not be altered or repurposed without written approval.

Affiliates agree not to:

• Modify any logos or images provided.

• Use the Afton Negrea brand in a way that is misleading, defamatory, or harmful.

• Present themselves as a representative or employee of Afton Negrea.

5. Commission Structure

Commission amounts and terms are subject to change based on current promotions and product offerings. To be eligible for commission:

• The referred customer must be a new and unique visitor.

• The sale must be completed through the Affiliate's unique link.

• The product must be paid in full (no partial or failed payments).

• Commission will not be earned on refunded or canceled purchases.

Affiliates are not permitted to earn commission on their own purchases.

6. Payment Terms

Affiliate commissions are paid via PayPal every 30 days, provided the referred customer has completed full payment. If the customer is on a payment plan, commission is paid only after the final installment is received.

It is the Affiliate’s responsibility to maintain a valid PayPal account and provide accurate details. The Affiliate will be responsible for any PayPal transaction fees.

7. Relationship of Parties

This Agreement does not create any agency, partnership, joint venture, employment, or franchise relationship. Affiliates have no authority to bind the Company, make representations on its behalf, or act as a representative.

8. Taxes and Legal Obligations

Affiliates are solely responsible for reporting and paying any taxes arising from income earned through this program in accordance with local laws and regulations.

9. Limitation of Liability

The Company shall not be liable for indirect, incidental, special, or consequential damages, including any loss of revenue or profits. The Company’s total liability shall not exceed the total commissions paid to the Affiliate under this Agreement.

10. Modifications

The Company reserves the right to modify this Agreement at any time. Affiliates will be notified via email of any significant changes. Continued participation in the affiliate program following notice of changes constitutes acceptance of the updated Agreement.

11. Term and Termination

This Agreement begins upon the Affiliate’s access to the affiliate dashboard and remains in effect until terminated by either party. Either party may terminate the Agreement at any time with or without cause.

Upon termination:

• All rights granted to the Affiliate will immediately cease.

• Affiliate must remove all promotional content and links related to Afton Negrea.

• Final commissions may be withheld for a reasonable period to account for refunds or cancellations.

12. Disclaimers

The Company makes no express or implied guarantees regarding the earnings potential of any Affiliate. System downtimes, errors, or other interruptions may occur and do not result in Company liability.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

By accessing your affiliate dashboard, using your unique referral link, or participating in any promotional activity related to Afton Negrea products, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this Affiliate Agreement.
